Terms of Service

Please read these Terms carefully before using the EquipPay platform. By accessing or using EquipPay — whether as a supplier, customer, or visitor — you agree to be bound by these Terms. If you do not agree, do not use the platform.

1. About EquipPay

EquipPay is a commercial equipment finance technology platform operated by Lyft Capital Pty Ltd (ABN: 18 623 527 775, Australian Credit Licence: 541052), trading as EquipPay ("we", "us", "our"). Our registered office is Level 14, 3 Parramatta Square, 153 Macquarie St, Parramatta NSW 2150.

EquipPay connects commercial equipment suppliers and their business customers with a panel of independent lenders to facilitate equipment finance applications. EquipPay acts as a technology intermediary and credit assistance provider only — it is not a lender and does not provide credit. All credit decisions are made independently by lenders on our panel.

EquipPay's services are provided in connection with credit for business or commercial purposes only. We do not assist with consumer credit (credit obtained wholly or predominantly for personal, household, or domestic purposes).

These Terms apply to all suppliers and customers who access or use the EquipPay Platform, and to anyone who creates an account or submits an application. Additional terms may apply to specific products or services and will be disclosed at the relevant time. Where a supplier has signed a separate Supplier Referral Agreement with us, that agreement prevails over these Terms in the event of inconsistency.

Approval and Access

Access to the EquipPay supplier portal and widget is granted at EquipPay's sole discretion following a supplier onboarding process. EquipPay may refuse, suspend, or revoke supplier access at any time.

By participating as a supplier, you agree to:

Suppliers must not engage in conduct that constitutes the provision of credit assistance as defined under the National Consumer Credit Protection Act 2009 or any other applicable law without holding the necessary licence or authorisation. If you are unsure, contact us before referring customers.

Nature of Service

EquipPay is a credit assistance provider only — it does not make credit decisions and does not provide credit. All credit is provided by independent lenders on our panel. Each lender conducts its own assessment and makes its own decision. EquipPay has no control over lender decisions, rates, or terms.

6. Commissions and Referral Fees

EquipPay may pay referral fees to participating suppliers when a finance application introduced by that supplier results in a settled deal. Referral fees are payable only upon settlement — not upon application submission, pre-approval, or formal approval.

EquipPay is paid for arranging your finance. Our remuneration may include a commission paid by the lender, a margin built into the interest rate, an origination fee, or a combination of these. Where we add a margin or charge an origination fee, this forms part of the total cost of your finance to you. The amounts payable under your finance contract — including repayments and any fees — are the all-in amounts applicable to your finance. We encourage you to review your finance documentation carefully before signing. This remuneration disclosure is provided to customers as part of the application process.

EquipPay reserves the right to withhold or claw back referral fees in cases of fraud, misrepresentation, or breach of these Terms by a supplier.

Suppliers are responsible for making any disclosures required by applicable law in connection with referral arrangements.

7. Automated Processing and Artificial Intelligence

The EquipPay Platform uses automated processing and artificial intelligence (AI) tools to assist with preliminary application assessment, document analysis, and identity verification. Automated processing is used to streamline the application process and does not constitute a final credit decision.

All final credit decisions are made by independent lenders. EquipPay does not guarantee any particular outcome as a result of automated processing. If you have questions about how automated tools have been applied to your application, contact us at support@equippay.com.au.

8. Intellectual Property

The EquipPay Platform, including the widget, brand assets, logo, wordmarks, software, and design, is owned by Lyft Capital Pty Ltd and protected by Australian and international intellectual property laws. Nothing in these Terms transfers any intellectual property rights to you.

Suppliers are granted a limited, non-exclusive, non-transferable, revocable licence to embed the EquipPay widget on their website solely for the purpose of referring customers to EquipPay. This licence does not permit any modification, reverse-engineering, or sublicensing of the widget.

9. Platform Availability

We aim to keep the EquipPay Platform available at all times, but we do not guarantee uninterrupted access. The Platform may be unavailable from time to time due to scheduled maintenance, technical issues, or circumstances beyond our control. We will endeavour to provide reasonable notice of planned downtime where practicable.

To the maximum extent permitted by law, EquipPay is not liable for any loss, damage, or inconvenience arising from Platform unavailability, delays, or technical failures.

10. User Content and Accuracy

You are solely responsible for any content, information, and documents you submit to the Platform. By submitting content, you represent and warrant that:

EquipPay reserves the right to remove or reject any content that we believe is inaccurate, unlawful, or in breach of these Terms.

11. Privacy

EquipPay collects, uses, and discloses personal and credit information in accordance with our Privacy Policy, the Privacy Act 1988 (Cth), and the Australian Privacy Principles. By using the Platform, you consent to the collection and use of your information as described in our Privacy Policy.

12. Termination and Account Suspension

EquipPay may suspend or terminate your access to the Platform if we reasonably believe you have:

Where the breach is capable of remedy, we will give you written notice describing the breach and a reasonable opportunity (not less than 7 days) to remedy it before suspending or terminating your access. We are not required to provide a cure period in cases involving fraud, misrepresentation, unlawful conduct, or where immediate suspension is necessary to protect the Platform, our customers, our lenders, or third parties.

Upon termination of a supplier account, the licence to use the EquipPay widget is immediately revoked and the widget must be removed from all supplier websites within 7 days. EquipPay will handle any personal information held in relation to terminated accounts in accordance with our Privacy Policy and applicable data retention obligations.

You may stop using the Platform and request closure of your account at any time by contacting us at support@equippay.com.au.

Termination does not affect any rights or obligations that have accrued prior to the date of termination, including obligations relating to settled deals. The provisions of these Terms that by their nature are intended to survive termination — including sections 8 (Intellectual Property), 11 (Privacy), 13 (Limitation of Liability), 14 (Indemnity), 16 (Complaints), and 17 (Governing Law) — will continue to apply.

13. Limitation of Liability

EquipPay does not guarantee that any application will be approved, or that any particular rate, product, or outcome will result from use of the Platform.

To the maximum extent permitted by law:

Nothing in these Terms excludes, restricts, or modifies any right or remedy, or any guarantee, warranty, or other term or condition, implied or imposed by any legislation (including the Australian Consumer Law) that cannot lawfully be excluded or limited. To the extent permitted by law, our liability for breach of any non-excludable consumer guarantee is limited, at our option, to supplying the relevant service again or paying the cost of having it supplied again.

14. Indemnity

You agree to indemnify Lyft Capital Pty Ltd, its officers, employees, agents, and representatives against any direct loss, damage, liability, cost, or expense (including reasonable legal fees) arising out of or in connection with:

This indemnity is reduced to the extent that the loss, damage, liability, cost, or expense is caused or contributed to by EquipPay's negligence, breach of these Terms, or wilful misconduct. This indemnity does not apply to indirect, consequential, special, or incidental loss or damage.

15. Changes to These Terms

EquipPay reserves the right to update these Terms at any time. We will publish updated Terms on this page with a revised date. Continued use of the Platform after updated Terms are published constitutes your acceptance of those changes. If you do not agree to any changes, you must stop using the Platform.

For material changes affecting existing supplier arrangements, we will endeavour to provide reasonable notice.

16. Complaints

If you have a complaint about EquipPay's services, please contact us in the first instance:

We will acknowledge your complaint within 1 business day and provide a written response within 30 days. Where your complaint relates to a credit-related matter, we will respond within the timeframes required under ASIC Regulatory Guide 271, which may be shorter than 30 days.

If your complaint is not resolved to your satisfaction, or we have not provided a response within the required timeframe, you may refer the matter to the Australian Financial Complaints Authority (AFCA), our external dispute resolution scheme:

17. Governing Law

These Terms are governed by the laws of New South Wales, Australia. Any disputes arising from or in connection with these Terms will be subject to the non-exclusive jurisdiction of the courts of New South Wales.

18. General

18.1 Notices. Notices under these Terms must be in writing and may be sent by email to the addresses recorded by each party. Notices to EquipPay should be sent to support@equippay.com.au with a copy to our registered office. Notices are deemed received on the next business day after sending.

18.2 Assignment. You may not assign or transfer your rights or obligations under these Terms without EquipPay's prior written consent. EquipPay may assign or transfer its rights or obligations under these Terms to a related body corporate or in connection with a sale, merger, or restructure of its business, with reasonable prior notice to you.

18.3 Entire agreement. These Terms, together with our Privacy Policy and any other agreement separately executed between the parties, constitute the entire agreement between the parties in relation to its subject matter and supersede all prior representations, understandings, and agreements (whether written or oral).

18.4 Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be severed and the remainder of these Terms will continue in full force and effect.

18.5 No waiver. A failure or delay by either party in enforcing any right under these Terms is not a waiver of that right.

18.6 Force majeure. Neither party is liable for any failure or delay in performing its obligations under these Terms (other than payment obligations) caused by circumstances beyond its reasonable control, including acts of God, natural disasters, government action, cyber attack, pandemic, or failure of third-party infrastructure.
